Official Rules (“Official Rules”)

ENTER FOR A CHANCE TO WIN A MOTHER’S DAY PRIZE PACKAGE FROM IVANKA TRUMP AND ZAPPOS. NO PURCHASE NECESSARY. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT IMPROVE YOUR CHANCE OF WINNING. ODDS OF WINNING WILL DEPEND ON THE TOTAL NUMBER OF ENTRIES RECEIVED. VOID WHERE PROHIBITED BY LAW.

1. Eligibility: The Ivanka Trump and Zappos Mother’s Day Sweepstakes (the “Sweepstakes”) is open only to legal residents of the fifty (50) United States and the District of Columbia, (excluding Puerto Rico, all U.S. Territories, all overseas military installations and Canada) who are at least twenty-one (21) years of age or the age of majority in your state of residence at the time of entry. Officers, parent companies, subsidiaries, affiliates, directors, LLC members and employees of IT Operations LLC (“Ivanka Trump”) and Zappos IP, Inc. (“Zappos”) (collectively, “Sponsors”) and of their respective parents, subsidiaries, affiliate companies, and advertising and promotional agencies, as well as the immediate family (defined for these purposes as including, spouses, parents, step-parents, siblings, step-siblings children, step-children, and each of their respective spouses) and/or those living in the same household of each of the above (whether legally related or not) are not eligible to enter the Sweepstakes or win a prize. The Sweepstakes is subject to all applicable federal, state, municipal, and local laws and regulations and is void where prohibited by law. Participation constitutes entrant’s full and unconditional agreement to these Official Rules and Sponsors’ and Administrator’s decisions, which are final and binding in all matters related to the Sweepstakes. Winning the prize is contingent upon fulfilling all requirements set forth herein. This Sweepstakes is in no way sponsored, endorsed, or administered by, or associated with Facebook, Instagram or Twitter.

2. Sponsors: IT Operations LLC, 725 5^th Avenue, New York, NY 10022, U.S.A. and Zappos IP, Inc., 400 East Stewart Avenue, Las Vegas, NV 89101, U.S.A. Administrator: Offerpop, 360 Park Avenue S, New York, NY 10010, U.S.A (“Administrator”).

3. Timing: The Sweepstakes begins on April 26, 2016 at 9:00 a.m. Eastern Time ("ET") and ends on May 8, 2016 at 11:59 p.m. ET (the "Promotion Period"). Administrator’s computer is the official time- keeping device for the Sweepstakes.

4. How to Enter: There are two (2) ways to enter the Sweepstakes:

1. Online Method of Entry: During the Promotion Period, visit https://www.facebook.com/IvankaTrump/?sk=app_194975693850063&rest=1 (the “Website”) and complete and submit the registration form with the information requested, including your first and last name, and email address. You will automatically receive one (1) Sweepstakes entry. Limit: One (1) entry per person, during the Promotion Period, through this method of entry.

1. Bonus Sweepstakes Entry: During the Promotion Period you may earn one (1) additional Sweepstakes entry by the “Email and Tell A Friend” method: After you enter the Sweepstakes, you will be invited to submit the names and email addresses of two (2) friends who must meet the eligibility requirements herein to enter the Sweepstakes. Each person that you refer will receive an email notifying him or her about the Sweepstakes. You may only refer persons with whom you have an existing relationship. If both friends you refer subsequently register for the Sweepstakes, you will automatically receive one (1) additional Sweepstakes entry. Limit: One (1) entry per person, during the Promotion Period, through this method of entry.

Entry Limit: Each participant may receive a total of up to two (2) Sweepstakes entries (one (1) by the method described in paragraph a. above and one (1) by the method described in paragraph b. above). Multiple entrants are not permitted to share the same email address. Any attempt by any entrant to obtain more than the stated number of entries by using multiple/different email addresses, identities, registrations and logins, or any other methods will void that entrant’s entries and that entrant may be disqualified. Entry into the Sweepstakes does not constitute entry into any other promotion, contest, or sweepstakes. Incomplete entries or entries submitted by entrants who not meet the eligibility requirements (including those with respect to age and residence) are void. Use of any automated system to participate is prohibited and will result in disqualification. In the event of a dispute as to any registration, the authorized account holder of the email address used to register will be deemed to be the entrant. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. All entries become the sole property of the Sponsors and will not be acknowledged or returned. Each potential winner may be required to show a valid government-issued form of identification that matches the name under which the winner entered as proof of being the authorized account holder.  Failure to provide true and accurate information will automatically disqualify from participating in the Sweepstakes.

5. Grand Prize Drawing: Administrator is an independent judging organization, whose decisions as to the administration and operation of the Sweepstakes and the selection of the potential winners are final and binding in all matters related to the Sweepstakes. Administrator’s use of all information collected in this Sweepstakes shall be solely for the administration of the Sweepstakes. Administrator will randomly select one (1) potential Grand Prize winner from all eligible entries received during the Promotion Period after May 8, 2016. Administrator will notify the winner at a commercially reasonable time thereafter. Winner need not be present to win. The potential winner will be notified by mail, email or phone using the information provided at the time of entry.  Entrants’ odds of winning depends on the number of eligible entries received. The potential winner will be required to sign and return a Declaration of Compliance, Liability and, where imposing such condition is legal, a Publicity Release (collectively, a "Declaration"), which must be received by Administrator within seven (7) days of the date notice or attempted notice is sent, in order to claim his/her prize. Receiving a prize is contingent upon compliance with these Official Rules. If a potential winner cannot be contacted, fails to sign and return the Declaration (as applicable) or provide any other requested information within the required time period (if applicable), , potential winner forfeits the prize. In the event that a potential winner is found to be ineligible, or if he or she has not complied with these Official Sweepstakes Rules or declines the prize for any reason prior to award, such potential winner will be disqualified, and Sponsor may award the prize to an alternate winner by random drawing from among all remaining eligible entries. Only three (3) alternate drawings will be held, after which the prize will remain un-awarded.

6. Prize: ONE (1) GRAND PRIZE is available, consisting of two (2) Ivanka Trump Soho Totes, filled with a variety of Mother’s Day gifts that include two (2) of each of the following: $500.00 Gift Card to Zappos.com, Ivanka Trump Trika Flats, Ivanka Trump Rio Tech Sleeve, The Laundress Dry Cleaning Detox Kit, Drybar “I Heart Road Trips” Travel Kit, Smythson Notebook, Shinola + Fisher Bullet Space Pen, Nourish Snacks, Library of Flowers Sampling Kit, Balance Candle and Matches, HelloFresh Box, and #WomenWhoWork Emergency Kit filled with a variety of beauty products. Approximate Retail Value (“ARV”) of the Grand Prize is: $3,242.00. . Actual/appraised value may differ at time of prize award. No cash or other prize substitution permitted except at Sponsor's discretion. Prize is non-transferable and no substitution will be made except as provided herein at the Sponsor’s sole discretion. Sponsor reserves the right to substitute the prize or a prize component for one of equal or greater value if the designated prize or prize component should become unavailable for any reason. Any and all prize related expenses, including without limitation any and all federal, state, and/or local taxes, and for any other fees associates with the prize they receive shall be the sole responsibility of the winner. No substitution of prize or transfer/assignment of prize to others or request for the cash equivalent by winners is permitted. Acceptance of prize constitutes permission for Sponsors to use winner's name, likeness, and entry for purposes of advertising and trade without further compensation, unless prohibited by law. Winner is responsible for all federal, state, and local taxes and fees associated with prize receipt and/or use. Odds of winning the Sweepstakes prize depend on the number of eligible entries received during the Promotion Period. Sponsors makes no warranties, and hereby disclaims any and all warranties, express or implied, concerning any prize furnished in connection with the Sweepstakes. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, SUCH PRIZES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND SPONSORS HEREBY DISCLAIMS ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT. Sponsors will not replace any lost or stolen prizes.
7. Release: By participating in this Sweepstakes and/or accepting a prize, entrants and winner agree that Sponsors, Administrator, Facebook, Inc., Instagram, Inc. or Twitter, Inc. and each of their respective parent companies, subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies, and prize suppliers, and each such company’s officers, directors, employees, LLC member and agents (all such individuals and entities collectively referred to herein as the “Released Parties”) shall not be responsible or liable for, and are hereby released and held harmless from and against, any and all claims, demands, liability, costs, injuries, losses or damages or causes of action (however named or described) or expenses of any kind, including, without limitation, property damage or loss, death and bodily injury, due in whole or in part, directly or indirectly, to participation in the Sweepstakes or any Sweepstakes-related or prize-related activity, or from entrants’ acceptance, receipt, possession and/or use or misuse of any prize, and have not made any warranty, representation or guarantee express or implied, in fact or in law, with respect to any prize, including, without limitation, to such prize’s quality or fitness for a particular purpose.

8. Publicity: Except where prohibited by law, participation in the Sweepstakes and acceptance of prize constitutes winner’s consent to Sponsors’ and their agents’ use of winner’s name, likeness (including his/her biographical information, photograph(s), voice, opinions, statements, video) and/or hometown and state of residence for advertising and promotional purposes in any media, worldwide, without further payment or consideration, notice, review or approval.

9. General Conditions: Sponsors reserve the right to cancel, suspend and/or modify the Sweepstakes, or any part of it, if any fraud, technical failures, human error or any other factor impairs the integrity or proper functioning of the Sweepstakes, as determined by Sponsors in their sole discretion. Sponsors reserve the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of the Official Rules of this or any other promotion or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, Sponsors reserve the right to seek damages from any such person to the fullest extent permitted by law. Sponsors’ failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

10. Limitations of Liability: The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Sweepstakes; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines, e-mail, computer transmissions, or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Sweepstakes; (4) technical or human error which may occur in the administration of the Sweepstakes or the processing of entries; (5) mail, entries, prize claims or notifications that are late, lost, misdirected, undeliverable, damaged, incomplete, illegible, garbled, unintelligible, stolen or otherwise not received by the intended recipient, in whole or in part, due to computer, human or technical error of any kind, including but not limited to, inactive email accounts or an entrant's failure to monitor his/her email account; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Sweepstakes or receipt or use or misuse of any prize. If for any reason an entrant's entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is another entry in the Sweepstakes, if it is possible. Proof of entering information at the Website does not constitute delivery or receipt. If the Sweepstakes, or any part of it, is discontinued for any reason, Sponsors, at their discretion, may elect to hold a random drawing from among all eligible entries received up to the date of discontinuance for any or all of the prizes offered herein. If in the sole discretion of Sponsors and Administrator actual or suspected tampering with the Sweepstakes, or automated entries, or technical difficulties that affect an entry or the promotion are found, Sponsors and Administrator reserve the right to void any entries and/or to change the promotion. No more than the stated number of prizes will be awarded. In the event that production, technical, seeding, programming or any other reasons cause more than the stated number of prizes as set forth in these Official Rules to be available and/or claimed, Sponsors reserve the right to award only the stated number of prizes by a random drawing among all legitimate, un-awarded, eligible prize claims.

11. Disputes: THIS SWEEPSTAKES IS GOVERNED BY THE LAWS OF THE U.S.A. AND NEW YORK, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. Except where prohibited, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Southern District of New York or the New York State Court located in New York County, N.Y.; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys’ fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of New York, U.S.A. without giving effect to any choice of law or conflict of law rules (whether of the State of New York or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York.

12. Use of Data/Entrant's Personal Information: Administrator will be collecting personal data about entrants solely for the purposes of administration of this Sweepstakes. Information collected from entrants is subject to the Administrator's Privacy Policy and Terms of Conditions located at: http://www.offerpop.com/privacy-policy/.  

By entering the Sweepstakes entrants understand and agree that the information collected by Administrator will be shared with Ivanka Trump and Zappos; entrants will be automatically opted-in to Ivanka Trump’s and Zappos’ email lists to receive email announcements and special offers from Sponsors in accordance with each Sponsor’s own privacy policy. Zappos’s privacy policy is located at: http://www.zappos.com/privacy-policy, and IT Operations LLC’s privacy policy located at: http://www.ivankatrump.com/terms-conditions/. Entrants will always have the opportunity to opt-out of future emails. If you choose to later opt-out of email messages from Sponsors, it will not decrease your chances of winning.
